Youth Services Client Makes A Good Match for National Home Care Firm
Kids in Focus, a Richmond, Virginia client of the firm, in 2008, with our help successfully joined a Louisville, Kentucky-based national home care company and became part of one of the nation’s largest providers of home care to the elderly and those with disabilities.
Kids in Focus and its related agencies offer residential diagnostic and therapeutic services to children in crisis in five home-like settings it operates in Richmond. Theirs is an innovative and comprehensive program that performs clinical, psychological, psychiatric, physical and academic evaluations customizing therapy and training to each child's particular needs.
The inventive treatment process and strong financials of Kids in Focus, and the potential for growth in the Virginia market made it an interesting target for the publicly-traded home care services firm. When Kids in Focus was approached, they asked their financial advisors to identify specialists in the legal issues. The Sands Anderson mergers and acquisitions team was recommended.
Attorneys Pitney, Mike DeCamps and Tom Hanes drafted and negotiated the definitive agreements and ancillary documents necessary to protect the seller's interest in the sale. The goal of the legal representation was to protect the owners of Kids in Focus to the maximum extent possible by minimizing the its indemnification obligations without jeopardizing the closing of the transaction. The team also worked in conjunction with the seller's investment bankers, tax advisors, and accountants to minimize the tax impact of the transaction on the seller.
Our legal team also assisted in advising the client on health regulations, licensing, and employment issues to make a seamless transition of the business to the purchaser without interrupting the critical services needed by the children placed in the Kids in Focus facilities. The acquisition was completed on February 4, 2008.
