Sands Anderson PC has an opening in any of our offices for a public finance associate with 1-4 years of experience. This position will include public finance matters involving state and local entities and nonprofits, primarily in Virginia and North Carolina: tax-exempt and taxable municipal bonds, including public offerings and direct purchases, and commercial loans to finance public infrastructure, economic development projects and other capital improvement projects; nonprofit health care, higher education, education, cultural, and other facilities. Engagements include services as bond counsel, underwriter’s counsel, disclosure counsel, issuer counsel and purchaser’s/lender’s counsel. Practice may include economic development and other local government matters related to finance and capital projects.
Duties & Responsibilities:
- Draft transaction documents, including trust agreements, loan agreements, lease financing documents and closing certificates.
- Assist with review of due diligence materials.
- Draft bond purchase contracts and remarketing agreements, securities disclosure offering documents, including limited offering memoranda and official statements.
Qualifications:
- 1-4 years of relevant experience in public finance and/or lending/corporate finance; local governmental law experience in Virginia and/or North Carolina preferred but not required.
- JD from accredited law school.
- Active Virginia bar license required and additional North Carolina bar licensure preferred.
- Excellent legal research, writing, and interpersonal communication skills required.
