Steven D. Forbes
Steven provides responsive counsel to governmental entities, businesses, and individuals across a broad spectrum of state and local government law and commercial matters. With a particular focus on public finance transactions, Steven acts as bond counsel and advises state and local entities on municipal bond issuances and federal securities law considerations. He serves as a steadfast ally to cities, towns, counties, and authorities as they raise capital to fund public projects and strategic initiatives.
In addition to his public sector work, Steven represents businesses, investors, and lenders in a variety of commercial and real estate transactions. He also brings particular experience in technology and privacy contracting, negotiating and drafting Software as a Service (SaaS) agreements, software development contracts, business process outsourcing arrangements, and software licensing agreements. He regularly advises clients on structuring complex transactions, identifying and mitigating risk, and aligning contractual frameworks with their operational, regulatory, and strategic objectives.
In a prior role, Steven guided clients through SEC and state‑level securities compliance reporting, including blue sky filings and interactions with state regulatory commissions. His background includes preparing private placement memoranda and subscription documentation for private securities offerings, with a particular emphasis on real estate‑related securities. He has also supported business clients with general corporate matters, including entity formation, dissolution, and ongoing corporate governance.
Beyond his legal practice, Steven is happy to spend quality time with his wife and three children. He can also be found on the golf course or engaged in discussions about his beloved New York Giants and New York Knicks.
