As an associate in Sands Anderson’s business group, Zach provides commonsense legal counsel to companies throughout the Commonwealth. He focuses specifically on real estate, tax, and general corporate law matters.
Zach has significant real estate experience, and he is well versed in all aspects of the acquisition, financing, leasing, and disposition of commercial real estate assets. His work on sophisticated commercial real estate transactions includes preparing and negotiating purchase agreements, loan documents, commercial lease agreements, and legal opinions. In each representation, Zach strives to help clients achieve their goals by providing lasting value.
He also provides counsel to clients on general corporate law matters. Whether providing advice on entity formation, dissolution, or ongoing corporate governance, Zach approaches each client matter with care. He excels at preparing corporate documents such as operating agreements, shareholder agreements, and bylaws.
In addition, Zach has experience working with clients on private security offerings and providing advice on 1031 tax matters, and issues related to the Securities Act of 1933, the Investment Company Act, and the Investment Advisors Act. His securities experience extends to representing sponsors in private security offerings, including Delaware statutory trust (DST), debenture, and fund offerings, and includes drafting private placement memoranda, subscription documents, tax opinions, and various ancillary offering documents.
Outside of the office, Zach’s interests include cooking, scuba diving, and spending quality time with his dog, Sadie.
